The Legal Composition of Trojan Racing Stable
*We operate as an LLC limiting each Member’s liability. Each purchase of an ownership interest is the equivalent of purchasing a certain percentage within each racehorse. The percentages of the racehorses are sold as units.
Initial Capital Contribution
*Each Member will invest a minimum sum of $5,000 towards a racehorse valued between $80,000- $150,000. One unit equals $5,000 A Member may purchase as many units as they like towards the racehorse. It is encouraged for each Member to purchase multiple units in order to receive a greater percentage of purse money. We prefer to keep the partnerships relatively small, thus increasing a greater cost/reward ratio. Therefore, we like to represent partnerships of 5-10 Members per each racehorse.
*Please remember that the investment, training expenses, and any other associated/horse related costs are eligible as tax write-offs. We do encourage you to speak to your accountant regarding the details and benefits of owning a Thoroughbred racehorse.
*Groups may also purchase units. The minimum purchase of a unit is still $5,000 of a racehorse and the group is treated as a single owner for communications, accounting, billing, race day accomodations, etc. This is another feature of Trojan Racing Stable which allows for more Members at a minimal unit price. We accomodate one representative Member of the group as we would one Member.
*Along with the initial capital contribution, each Member will pay the first year of training, veterinary, blacksmith, and transportation costs.
*Every expenditure, based upon the Member's sharing ratio, is divided between the other Members. Each individual Member is responsible for his or her ownership pro rata of the expenses.
Minimum Aggregate Investment
*We raise money to purchase racehorses out of the Two-Year-Old in training bloodstock sales in Florida, Kentucky, and California. As we accrue investors, Member's investment funds are deposited within an interest bearing Schwab "Value Advantage Money" fund account. For any reason that we fail to reach the minimum investment requirement, your initial capital contribution (units) and investment funds are returned with interest.
Financial Overview of the Racehorse’s maintenance costs
* Trainer = $85.00/day. Includes feed, board, payment for grooms, hot-walkers (grooms that walk the horses and "cool them out" after they have been bathed), stable foreman, assistant trainer, and workman’s compensation insurance.
* Veterinary/dental = $1,300.00/month
* Blacksmith = $150.00/month. This includes trimming the horse’s hooves and proper shoes for training and racing. The blacksmith is extremely important- the old motto is "no hoof-no horse."
* Mortality Insurance = 4-5% of the purchase price of the horse/year (optional).
* Transportation = $1,000.00/year.
* Management Fee = $10.00/day.
Capital Calls
*Additional capital is evaluated upon a quarterly basis. If necessary, the capital call is made one quarter in advance.
Typically, a capital call is predicated upon historical maintenance costs i.e. added veterinary care such as additional vitamins, supplements, or medications.
If a horse is extremely successful, and we decide to race for a large amount of purse money, within a venue outside of California, the investing Members are responsible for the transportation costs and entry fees.
Management Compensation
$10.00/day. Entails: pedigree research/ flow charts and pedigree analysis over the computer. Reviewing sales catalogs. Examining races and projecting future racing campaigns for our Thoroughbreds. Accounting reports, financial statements, and record/billing statements.
Trojan Racing Stable Purse Allocation
5% - up to the first $49,000.00
10% - 50,000.00 - $499,000.00
15% - 500,000.00 and over
* Sales commission upon selling a horse = 10% up to $99,000.00 & 15% over $100,000.00
All purse percentages are deducted from the total of the purse money earned within the partnership. Whichever percentage of purse money our horse’s earn, the jockey automatically receives 10% deducted by the race track’s Paymaster of Purses.
Our trainer receives 10% which is added onto the next months training bill.
Trojan Racing Stable deducts their percentage based upon the table above. The Member's percentage of the purse money is divided amongst the various Members, depending upon each individual Member's units.
